1. About These Terms

These Terms of Service ("Terms") govern your access to and use of SnapAgent, an AI agent platform for small and medium-sized businesses, operated by Dylan Bruneau ("we", "us", or "our"). By creating an account or using our service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the service. We reserve the right to modify these Terms at any time. Material changes will be notified via email to the address associated with your account.

2. Service Description

SnapAgent provides an AI agent platform that enables small businesses to deploy conversational AI agents on their websites and applications. The service includes:

• AI agent creation and configuration tools
• Embedded chat widgets for website integration
• Conversation management and analytics
• Account and subscription management

SnapAgent is currently in beta. Features may change, be added, or removed. We do not guarantee feature availability.

3. Account Terms

To use SnapAgent, you must create an account and maintain accurate, current information.

• Eligibility: You must be at least 18 years old and legally able to enter into contracts.
• Account security: You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized access.
• Accurate information: You agree to provide accurate and complete information. We reserve the right to suspend or terminate accounts with false or misleading information.
• One account per entity: Each business entity may maintain one account unless otherwise agreed in writing.

4. Acceptable Use

You agree not to use SnapAgent to:

• Violate any applicable law, regulation, or third-party rights.
• Generate, distribute, or act on content that is defamatory, harassing, obscene, or otherwise unlawful.
• Interfere with, disrupt, or compromise the integrity or security of our systems or infrastructure.
• Use the service to build a competing product or service.
• Send unsolicited commercial messages or spam via the platform.
• Impersonate any person or entity, or falsely claim affiliation with any person or entity.
• Use AI agents to collect personal data beyond what is necessary for the legitimate business purpose of your use case.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5. Payment and Billing

SnapAgent is a paid subscription service. Current pricing is available at our pricing page.

• Billing cycle: Subscriptions are billed monthly or annually in advance. Prices are in USD unless otherwise stated.
• Upgrades: Upgrading your plan takes effect immediately and you are billed the prorated difference.
• Downgrades: Downgrading takes effect at the start of your next billing cycle.
• Payment method: We use Stripe for payment processing. By subscribing, you authorize Stripe to charge your payment method on file.
• Failed payments: Failed payments may result in account suspension. We will make reasonable attempts to contact you before suspending.

Refund policy: Due to the digital nature of our service, we do not offer refunds for partial months or unused subscription periods. If you believe you have been charged in error, contact us at hello@snapagent.eu within 30 days and we will investigate. This does not affect your statutory rights under EU consumer law.

6. Service Availability

SnapAgent is provided on a best-effort basis during the beta period.

• We do not guarantee 99.9% uptime or any SLA during beta.
• Scheduled maintenance will be communicated in advance where possible.
• Unscheduled outages may occur. We will strive to restore service as quickly as possible.
• The service may be temporarily unavailable during beta testing, feature releases, or infrastructure upgrades.

During the beta phase, we may limit, restrict, or discontinue features at any time without liability.

7. Intellectual Property

• SnapAgent IP: The SnapAgent platform, its design, code, branding, and documentation are the intellectual property of Dylan Bruneau. You are granted a limited, non-exclusive, non-transferable license to use the platform during your active subscription.
• Your data: You retain all ownership rights to the data, content, and information you provide to or generate through the platform ("Your Content"). You grant us a limited license to use Your Content solely to provide the service.
• AI-generated content: Content generated by AI agents through our platform is generated on your behalf and considered part of Your Content. Responsibility for the accuracy and appropriateness of AI-generated content rests with you.
• Feedback: If you provide suggestions, feature requests, or feedback about our service, we may use them without obligation to you.

8. Limitation of Liability

To the maximum extent permitted by law, SnapAgent and Dylan Bruneau shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
• Loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.
• Any damages arising from reliance on AI-generated content or advice provided through the platform.
• Any failure or delay resulting from circumstances beyond our reasonable control.

Our total liability under these Terms shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

These limitations do not apply to liability for death or personal injury, fraud, or other matters where liability cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless Dylan Bruneau, SnapAgent, and their affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

• Termination by you: You may cancel your subscription and terminate your account at any time through your account settings or by contacting us at hello@snapagent.eu.
• Termination by us: We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason at our discretion. We will provide notice where reasonably practicable.
• Effect of termination: Upon termination, your access to the service ceases. You may request a data export within 30 days of account closure.
• Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the European Union, specifically the laws of the jurisdictions where Dylan Bruneau operates.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the European Union.

If you are a consumer located in an EU member state, you also benefit from mandatory protections under the consumer protection laws of your country of residence, which cannot be contracted away.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Send an email notification to the address associated with your account.
• Post a notice in the platform for 30 days following the change.

Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
